Context

A lower-middle-market private equity firm was evaluating the acquisition of an early-stage data platform with a proprietary scraper suite and enrichment pipeline operating across 18 U.S. states.

The investment thesis was heavily dependent on the target’s technology assets, including proprietary data collection capabilities, anti-bot evasion expertise, and a scalable enrichment framework designed to support expansion into additional markets. Traditional financial diligence provided little visibility into whether the technology platform could support the growth strategy presented by management.

The sponsor required an independent assessment to validate platform capabilities, identify hidden risks, and determine whether the underlying technology could support national scale and future enterprise value creation.

Assessment

IT Ally® conducted a comprehensive Quality of Technology (QoT™) Due Diligence assessment that included direct analysis of approximately 122,000 lines of code across four GitHub repositories, commit history reviews, technical management interviews, Virtual Data Room analysis, diligence tracker reviews, and validation of platform output across multiple states.

The assessment evaluated four core QoT™ domains:

  • Talent & Organization

In addition to the diagnostic assessment, IT Ally developed a prioritized 100-Day Stabilization Plan and a Phase 2 Value Creation Roadmap aligned to the sponsor’s accelerated hold period and value creation objectives.

Following a successful close, the portfolio operations team adopted IT Ally’s 100-Day Plan as its post-close execution roadmap, accelerating remediation efforts and eliminating the need for additional planning or discovery activities.
