CHALLENGE

Our PE backed client was being sold. With 3 separate divisions, they wanted to ensure they were prepared for the buyer to perform IT and Cybersecurity Due Diligence, as internal resources to perform this work were scarce. The client wanted to ensure the IT and Cybersecurity story was told in a way that highlighted strengths and gave prospective buyers confidence that the 3 divisions adhered to best IT and Cybersecurity practices while operating separately.

SOLUTION

The IT Ally team conducted IT and Cybersecurity due diligence similar to a buyer, by having the client complete the core request list. They collected and reviewed related documents and interviewed subject matter experts. A well written executive summary was created, and respective documents organized into the data room. Any areas requiring risk mitigation were remediated or explained in the document.

RESULTS

By being proactive and preparing for due diligence, the client spent much less effort and time supporting the process and was able to convey confidence to the potential buyer on their overall readiness for sale. In addition, any known risks were adequately addressed proactively enabling for a smooth due diligence process and transaction outcome.
